Acceptance of Terms These Terms of Service ("Terms") constitute a legally binding agreement between you and Solar Willow Psychic Network Pty Ltd ("Solar Willow", "we", "us", or "our"), governing your access to and use of the platform located at solarwillow.com (the "Platform"). By registering an account, accessing the Platform, or using any of our services, you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and Community Guidelines, which are incorporated herein by reference. If you do not agree to these Terms in their entirety, you must not access or use the Platform. We reserve the right to modify these Terms at any time. Where changes are material, we will provide reasonable notice. Your continued use of the Platform following any amendment constitutes your acceptance of the revised Terms. These Terms are governed by the laws of the State of New South Wales, Australia. By using the Platform, you consent to the exclusive jurisdiction of the courts of New South Wales for the resolution of any disputes arising under these Terms. 2. Eligibility The Platform is intended solely for individuals who are 18 years of age or older. By accessing or using the Platform, you represent and warrant that: • You are at least 18 years of age; • You have the legal capacity to enter into a binding agreement; • Your use of the Platform does not violate any applicable law or regulation in your jurisdiction; • All information you provide to Solar Willow is accurate, current, and complete. Solar Willow reserves the right to request proof of age at any time and to immediately suspend or terminate any account where we have reasonable grounds to believe the user is under 18 years of age. We do not knowingly permit minors to access the Platform. 3. Nature of Services and Important Disclaimer Solar Willow is a technology platform that facilitates live per-minute chat reading sessions between independent spiritual readers ("Readers") and individuals seeking spiritual guidance ("Clients"). Solar Willow itself does not provide psychic, spiritual, or divinatory services and is not responsible for the content, accuracy, or outcome of any reading conducted through the Platform. IMPORTANT DISCLAIMER: All readings, guidance, and content provided through the Platform are offered for entertainment and personal reflection purposes only. Nothing communicated during a session on the Platform constitutes professional advice of any kind, including but not limited to medical, psychological, legal, financial, or therapeutic advice. Solar Willow expressly disclaims any liability arising from reliance upon the content of any reading or session conducted through the Platform. You acknowledge and agree that: • Spiritual and psychic readings are subjective in nature and outcomes cannot be guaranteed; • No Reader on the Platform can guarantee specific outcomes, predict future events with certainty, or provide advice that should substitute for professional medical, legal, financial, or psychological counsel; • You are solely responsible for any decisions you make based on a reading or session conducted through the Platform; • If you are experiencing a mental health crisis, medical emergency, or require urgent professional support, you should contact the relevant emergency services or a qualified professional immediately. 4. Account Registration To access the Platform's features, you are required to register an account. When registering, you agree to provide accurate, truthful, and complete information, and to keep your account information current at all times. You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree not to share your login details with any third party and to notify Solar Willow immediately at support@solarwillow.com if you become aware of any unauthorised use of your account. Solar Willow reserves the right to refuse registration to any individual, or to suspend or terminate any account, at our sole discretion, without prior notice, where we consider it necessary to protect the integrity, safety, or operation of the Platform. 5. Independent Readers 5.1 Independent Contractor Status Readers on the Platform are independent contractors and not employees, agents, or representatives of Solar Willow. Solar Willow does not control the content, methodology, or conduct of individual reading sessions, and makes no representations or warranties regarding the accuracy, reliability, or quality of any reading provided through the Platform. 5.2 Reader Responsibilities By registering as a Reader on the Platform, you represent, warrant, and agree that: • All information contained in your reader profile is accurate, truthful, and not misleading; • You will conduct yourself with professionalism, integrity, and genuine care for the wellbeing of Clients at all times; • You will not make specific predictions regarding death, serious illness, pregnancy, legal outcomes, or financial gain; • You will not provide advice that constitutes or could be construed as medical, legal, financial, or psychological counsel; • You will not solicit Clients to communicate or transact with you outside of the Platform; • You will not engage in fraudulent, deceptive, misleading, or manipulative conduct of any kind; • You will comply with all applicable laws and regulations in your jurisdiction; • You will adhere to Solar Willow's Community Guidelines at all times. 5.3 Reader Earnings and Payments Readers are compensated on a per-minute basis for completed sessions, in accordance with the rate structure applicable at the time of the session. Solar Willow facilitates payments to Readers via PayPal. Readers are solely responsible for declaring and paying any taxes applicable to their earnings in their respective jurisdictions. Solar Willow provides no tax advice and accepts no liability in relation to a Reader's tax obligations. 6. Payments, Billing, and Refunds 6.1 Per-Minute Billing Live reading sessions are billed on a per-minute basis. Charges are calculated based on the duration of each session and are processed through PayPal. By initiating a session, you authorise Solar Willow to charge your designated PayPal account for the full duration of the session at the applicable per-minute rate. 6.2 Payment Processing All payments on the Platform are processed by PayPal. By using the Platform, you agree to PayPal's terms of service and privacy policy, which are available at paypal.com. Solar Willow does not store your full payment card details and is not responsible for any errors, delays, or failures attributable to PayPal's payment processing infrastructure. 6.3 Refund Policy All purchases and session charges made through the Platform are generally non-refundable. Solar Willow may, at its sole discretion, consider refund requests in exceptional circumstances, including but not limited to significant technical failures attributable to the Platform that prevent a session from being delivered as intended. Requests for refunds must be submitted to support@solarwillow.com within 7 days of the relevant session or transaction. Solar Willow's decision in relation to any refund request shall be final. 6.4 Disputes and Chargebacks If you have a concern regarding a charge, we ask that you contact us at support@solarwillow.com before initiating a dispute or chargeback with your payment provider. Initiating an unjustified chargeback may result in the immediate suspension or permanent termination of your account. Solar Willow reserves the right to contest any chargeback or dispute that we reasonably consider to be unwarranted. 7. Prohibited Conduct In using the Platform, you agree that you will not, under any circumstances: • Impersonate any person or entity, or misrepresent your identity or affiliation with any person or entity; • Use the Platform for any unlawful, fraudulent, or deceptive purpose; • Harass, threaten, abuse, intimidate, or demean any other user of the Platform; • Solicit or attempt to solicit other users to communicate or transact outside of the Platform; • Upload, transmit, or distribute any content that is defamatory, obscene, harmful, or in violation of any applicable law; • Attempt to gain unauthorised access to any part of the Platform, its servers, or any systems connected to the Platform; • Engage in any conduct that could damage, disable, overburden, or impair the Platform or its infrastructure; • Use any automated tools, bots, scrapers, or similar technologies to access or collect data from the Platform without our express written consent; • Reproduce, duplicate, copy, sell, or exploit any portion of the Platform for any commercial purpose without our prior written authorisation; • Engage in any conduct that Solar Willow, in its sole discretion, determines to be harmful to the Platform, its users, or its reputation. 8. User Content By submitting, posting, or sharing any content through the Platform, including messages during sessions, profile information, reviews, or feedback ("User Content"), you grant Solar Willow a non-exclusive, royalty-free, worldwide licence to use, store, display, and reproduce such User Content solely for the purposes of operating and improving the Platform. You represent and warrant that you own or have the necessary rights to all User Content you submit, and that such content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party. Solar Willow does not endorse any User Content submitted by users and accepts no liability for the accuracy, completeness, or legality of any such content. We reserve the right to remove any User Content at our sole discretion, without notice, where we consider it to be in violation of these Terms or our Community Guidelines. 9. Intellectual Property All content, design elements, software, trademarks, logos, and materials comprising the Solar Willow Platform are the exclusive intellectual property of Solar Willow Psychic Network Pty Ltd or its licensors, and are protected by applicable Australian and international intellectual property laws. Nothing in these Terms grants you any right, title, or interest in or to the Platform's intellectual property. You may not reproduce, modify, distribute, publicly display, or create derivative works from any part of the Platform without our prior written consent. 10. Privacy Your use of the Platform is also governed by our Privacy Policy, which is available at solarwillow.com and is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and disclosure of your personal information as described in our Privacy Policy. 11. Limitation of Liability To the fullest extent permitted by applicable law, Solar Willow Psychic Network Pty Ltd, its directors, officers, employees, agents, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of, or inability to use, the Platform or any services facilitated through it. Without limiting the foregoing, Solar Willow expressly disclaims liability for: • The content, accuracy, or outcome of any reading or session conducted by a Reader through the Platform; • Any decisions made by you in reliance upon a reading or session; • Any technical failures, interruptions, or errors affecting the Platform or its services; • Any unauthorised access to or alteration of your account or data; • Any conduct of third parties, including Readers, Clients, or payment processors. Where liability cannot be excluded by law, Solar Willow's total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the total amount paid by you to Solar Willow in the 30 days immediately preceding the event giving rise to the claim. 12. Indemnification You agree to indemnify, defend, and hold harmless Solar Willow Psychic Network Pty Ltd and its directors, officers, employees, agents, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: • Your use of or access to the Platform; • Any User Content you submit through the Platform; • Your breach of these Terms or any applicable law or regulation; • Your violation of the rights of any third party, including intellectual property rights or privacy rights. 13. Suspension and Termination Solar Willow reserves the right, at its sole discretion and without prior notice or liability, to suspend or permanently terminate your access to the Platform for any reason, including but not limited to a breach of these Terms, conduct that we reasonably consider harmful to other users or to the Platform, or for legal or regulatory compliance reasons. You may close your account at any time by contacting us at support@solarwillow.com. Upon termination of your account, your right to access and use the Platform ceases immediately. Any outstanding charges at the time of termination remain payable in full. Provisions of these Terms that by their nature ought to survive termination — including those relating to intellectual property, limitation of liability, indemnification, and governing law — shall continue in full force and effect following any termination. 14. Third-Party Services and Links The Platform may contain links to third-party websites, tools, or services, including PayPal for payment processing. Solar Willow does not endorse, control, or assume any responsibility for the content, privacy practices, or availability of any third-party service. Your engagement with any third-party service is governed solely by that party's terms and conditions, and Solar Willow accepts no liability in connection with such engagement. 15. Platform Availability Solar Willow endeavours to maintain the availability of the Platform at all times; however, we do not guarantee uninterrupted or error-free access. The Platform may be temporarily unavailable due to scheduled maintenance, technical issues, or circumstances beyond our reasonable control. Solar Willow accepts no liability for any loss or inconvenience resulting from Platform unavailability or interruptions to service. 16. Governing Law and Dispute Resolution These Terms are governed by and construed in accordance with the laws of the State of New South Wales, Australia, without regard to its conflict of law provisions. You irrevocably submit to the exclusive jurisdiction of the courts of New South Wales for the resolution of any dispute arising out of or in connection with these Terms or your use of the Platform. Before initiating any formal legal proceedings, we encourage you to contact us at support@solarwillow.com so that we may endeavour to resolve any concern or dispute informally and in good faith. 17. Australian Consumer Law Nothing in these Terms is intended to exclude, restrict, or modify any rights or remedies you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable consumer protection legislation that cannot be lawfully excluded. To the extent that any provision of these Terms is inconsistent with such legislation, that provision shall be deemed modified or excluded to the minimum extent necessary to achieve compliance. 18. Severability and Waiver If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be severed from the remaining Terms, which shall continue in full force and effect. Any failure by Solar Willow to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future. 19. Entire Agreement These Terms, together with the Privacy Policy and Community Guidelines, constitute the entire agreement between you and Solar Willow with respect to your use of the Platform and supersede all prior agreements, representations, and understandings of any kind, whether written or oral, relating to the subject matter hereof. 20.
